Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TemplateVault platform, including our website at templatevault.io, mobile applications, APIs, and related services (collectively, the "Service"), operated by TemplateVault ("we," "us," or "our").

By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account and use the Service. By agreeing to these Terms you represent that you are at least 18 years of age. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@templatevault.io if you suspect unauthorized access.

You may not share your login credentials, allow others to access your account, or create accounts on behalf of third parties without their consent.

4. Subscription Plans and Billing

TemplateVault offers both free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) through our payment processor. By selecting a paid plan, you authorize us to charge the applicable fees to your payment method on the billing cycle you select.

All fees are stated in USD and are non-refundable except as expressly stated in these Terms or required by applicable law. We reserve the right to change subscription prices with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until that date.

5. Free Trial

Where we offer a free trial, we will clearly state its duration and any limitations. At the end of the trial your account may automatically convert to a paid plan or revert to the free tier, depending on the plan you selected. We will notify you before any automatic charge.

6. Your Data and Content

You retain ownership of all vehicle records, service data, photos, and other content you submit to the Service ("Your Content"). By submitting content you grant TemplateVault a limited, non-exclusive, worldwide, royalty-free license to store, process, and display Your Content solely to provide the Service to you.

We do not sell Your Content to third parties. Our use of your data is governed by our Privacy Policy.

7. Vehicle Identification Numbers (VINs)

The Service allows you to log records tied to a vehicle VIN. You represent that you have lawful authority to submit records for any VIN you associate with your account — either as the vehicle owner, an authorized shop, or a designee with the owner's consent.

8. AI-Generated Content

Some features of the Service use artificial intelligence to generate repair estimates, maintenance recommendations, vehicle intelligence reports, and related content. This AI-generated content is provided for informational purposes only and does not constitute professional mechanical advice. TemplateVault makes no warranty regarding the accuracy, completeness, or fitness for a particular purpose of AI-generated outputs. Always consult a qualified mechanic before making repair or safety decisions.

9. Third-Party Services

The Service integrates with third-party services such as payment processors, authentication providers, and data APIs. Your use of those services is subject to their respective terms and privacy policies. TemplateVault is not responsible for the acts or omissions of third-party providers.

10. Intellectual Property

All software, design, text, graphics, and other content that is part of the Service (excluding Your Content) is owned by or licensed to TemplateVault and is protected by copyright, trademark, and other intellectual-property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEMPLATEVAULT AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

You agree to indemnify, defend, and hold harmless TemplateVault and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination you must cease all use of the Service. Sections 6, 10, 11, 12, and 13 survive any termination.

You may delete your account at any time from your account settings. Upon account deletion, we will remove Your Content from our active systems within 30 days, subject to our data-retention obligations under applicable law.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or the Service that cannot be resolved informally will be submitted to binding arbitration under the JAMS Streamlined Arbitration Rules. Class-action arbitrations and class-action lawsuits are not permitted.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify you by email or in-app notice. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the revised Terms.
